Hong Kong company establishment conditions

  • At least one shareholder
    (The shareholder can be a natural person or a company)
  • At least one director who is over 18 years old
  • At least one company secretary
    (If the company has only one director, the director cannot be the company secretary)
  • A Hong Kong registered office address
    (It cannot be a forwarding address or mail box)
  • At least one person is the designated representative of the significant controllers register

Information required to set up a Hong Kong company

  • Company name in Chinese or English
    (or one name in both Chinese and English)
  • Copy of ID card or passport of shareholders and directors and proof of residential address issued within 3 months
  • Shareholding ratio of shareholders
    (if more than one shareholder)
  • Issued Capital
  • The company's Hong Kong registered address
    (We can provide our Hong Kong office address as the company's registered address)

Consultation

Gather information

Client completes our designated form for us to gather the necessary information for the company set-up.

Review information

We verify the completeness of information and documents provided, conduct due diligence procedures and company search.

Payment

We send our bill to the client. Client notifies us upon their settlement of our bill by sending us the transfer/deposit slip.

Signing documents

Client may come to our office in person to sign the documents, or
we email the documents to the customer for signature, and the customer returns the original to us after signing

Complete registration

We submit the official registration documents to the Companies Registry
After the registration is completed, we will notify the customer to pick up the company statutory records, or we can send the statutory records to client by courier

Hong Kong company formation procedure

There are two ways:

  • (1) Submit documents, or
  • (2) Online registration

When the customer provides us with all the information and required documents, we will prepare the registration documents for the shareholders and directors to sign. Such as:

(1) Submit documents, or
  • Shareholders and directors can sign in person, or we can arrange to send it by email or courier;
  • When we receive the signed registration documents, they will be submitted to the Companies Registry for registration;
  • It takes about 4-5 working days from submission of documents to successful registration.
(2) Online registration
  • Shareholders and directors must bring their original ID cards or passports to sign in person
  • We even authenticate and register online for identity documents
  • After completing the due diligence review, the registration can generally be completed on the same day or the next day.
